1. Acceptance of Terms

This Master Subscription Agreement (the “Agreement”) outlines the terms and conditions governing your subscription to and use of the services provided by Digispoc (the “Platform”). By accessing or using the Platform, you (“User”) agree to comply with and be bound by this Agreement. If you do not agree, please refrain from using the Platform.

2. Services Provided

Digispoc offers a cloud-based client communication integration platform that enables Users to unify client communications through various features, including but not limited to:

• Broadcast and bulk messaging
• Unified communication channels for teams
• Automated chat assistance (ChatBot)
• Detailed productivity reports

The Platform's functionality may depend on third-party services, and Digispoc is not responsible for any disruptions or limitations caused by changes or issues with these external services.

3. Subscription and Payment

To access the services, Users must select a subscription plan and pay the applicable fees (“Subscription Fee”). The Subscription Fee is due monthly, quarterly, semi-annually, or annually, as per the chosen plan, and must be paid within seven (7) days from the invoice date. Subscriptions renew automatically unless terminated by the User. All payment obligations are non-cancelable, and fees paid are non-refundable, except as expressly stated in this Agreement.

The Subscription Fee excludes any taxes or charges imposed by governmental authorities. Users are responsible for paying all such applicable taxes.

4. Use of Services

Users agree to use the Platform in compliance with all applicable laws and regulations. Prohibited activities include, but are not limited to:

• Exceeding the intended functionality of the services
• Attempting unauthorized access to the Platform's systems or networks
• Using the services in a manner that could damage, disable, or impair the Platform
• Engaging in unlawful activities or promoting illegal actions

Users must ensure that their use of the Platform does not violate any third-party rights or terms of service.

5. Intellectual Property Rights

All content, trademarks, service marks, trade names, logos, and intellectual property displayed on the Platform are the property of Digispoc or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal or internal business purposes. This license does not permit any resale or commercial use of the Platform's content.

6. Cancellation and Refund Policy

All services rendered are non-refundable. Subscriptions renew automatically on their due renewal date according to the date of purchase until officially canceled in writing. Users may cancel at any time by emailing a notice to [email protected]. No refunds or credits for partial months or years of service will be provided upon cancellation.

If payment remains outstanding for more than fifteen (15) days from the activation date (for first-time users) or more than one (1) day for auto-renewal cases, Digispoc reserves the right to cancel the subscription.

7. Limitation of Liability

To the fullest extent permitted by law, Digispoc and its affiliates shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Platform. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if Digispoc has been advised of the possibility of such damages.

8. Force Majeure

Digispoc shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, labor disputes, natural disasters, governmental actions, or failures of third-party service providers.

9. General Provisions

This Agreement constitutes the entire agreement between the User and Digispoc regarding the use of the Platform. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Digispoc's failure to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision.
